Terms & Conditions

• "Agreement" means this End User License Agreement

• "Software" means the Sync Insights application and related services

• "Canton Network" means the distributed ledger technology platform on which the Software operates

• "Round" means a designated period of operation on the Canton Network

• "Rewards" means any incentives or compensation distributed through the Software

• "Licensor" means Sync Insights and its affiliates

• "Licensee" means the end user of the Software

2.1 License Grant

The Licensor grants you a non-exclusive, non-transferable, revocable license to use the Software subject to the terms of this Agreement and the specific terms of each Round on the Canton Network.

2.2 Round-Based Licensing

• Licensing terms are determined on a per-Round basis on the Canton Network

• Each Round may have different licensing requirements and restrictions

• The Licensor reserves the right to modify licensing terms from Round based to other intervals of subscription as per Section 5.2.

3.1 Reward Distribution

• Rewards are shared to the Licensee from the pool of app generated rewards according to the terms specified for each Round on the Canton Network

• Distribution mechanisms are governed by smart contracts

• Reward calculations and eligibility criteria may vary by Round

3.2 Changes to Reward Structure

• The Licensor reserves the right to modify the reward sharing structure with 7 days advance notice

• Changes will be communicated through email and/or in-app notifications

• Modified terms will apply to future Rounds only

4.1 Software Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. THE LICENSOR MAKES NO WARRANTIES, CLAIMS, OR REPRESENTATIONS AND EXPRESSLY DISCLAIMS ALL SUCH WARRANTIES, INCLUDING, WITHOUT LIMITATION, IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

4.2 Blockchain-Specific Risks

The Licensee acknowledges and accepts the inherent risks of blockchain technology, including but not limited to:

• Smart contract vulnerabilities

• Network congestion or failure

• Regulatory changes

• Market volatility

• Technical limitations or modifications of the Canton Network

4.3 Limitation of Liability

IN NO EVENT SHALL THE LICENSOR BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, OR CONSEQUENTIAL DAMAGES, INCLUDING BUT NOT LIMITED TO:

• Loss of profits or revenue

• Loss of data

• Business interruption

• System failures

• Network issues

The Licensor's total liability shall be limited to the amount paid by the Licensee for the current Round.

5.1 Changes to Agreement

The Licensor reserves the right to modify this Agreement at any time. 

Material changes will be communicated with at least 30 days notice through:

• Email notification

• Website announcements

5.2 Changes to Licensing and Rewards

• The Licensor may modify licensing terms and reward structures with 7 days advance notice

• Changes will be clearly communicated through designated channels

6.1 Termination Rights

• The Licensor may terminate this Agreement for any reason with 30 days notice

• Users may terminate their use of the Software at any time by cancelling the subscription

• Upon termination, all rights and licenses granted herein will immediately cease

This Agreement shall be governed by and construed in accordance with the laws of the Province of Alberta, without regard to its conflict of law principles.

BY USING THE SOFTWARE, YOU ACKNOWLEDGE THAT YOU HAVE READ THIS AGREEMENT, UNDERSTAND IT, AND AGREE TO BE BOUND BY ITS TERMS AND CONDITIONS.
